1. Subject of the contract

1.1. The Seller undertakes to manufacture, to order and with the technical content specified in the contract, a mobile hunting stand mountable on the roof of a motor vehicle (the "Product") and to transfer ownership of it to the Buyer against payment of the purchase price. The Buyer undertakes to take over the Product and to pay the purchase price as set out in the contract.

1.2. As regards the custom manufacture the contract is a works contract, and as regards the transfer of ownership of the Product it is a sale contract (a mixed contract). The relevant rules of Act V of 2013 on the Civil Code (the "Civil Code") apply to the individual provisions.

1.3. The fixing and positioning of the Product on the vehicle is made individually, to suit the vehicle designated by the Buyer. The Buyer undertakes to arrive with the vehicle agreed in advance on the day of handover. The Seller carries out the first installation of the Product.

2. Technical content and equipment of the Product

2.1. The Parties agree on the equipment and technical content of the Product as follows:

EquipmentBase colourLettering colourSide net type, colour

2.2. The detailed technical description of the Product is in Annex 1 to the contract, which forms an inseparable part of it.

2.3. The Parties record that the pair of roof rack cross bars belonging to the Buyer's vehicle, which is indispensable for installing and using the Product as intended, is not part of the Product. The Buyer undertakes to obtain it, to ensure its suitability for the vehicle and to have it fitted professionally, at the Buyer's own cost and responsibility, no later than the time of takeover (first installation) of the Product.

2.4. The Buyer must ensure that the load capacity, size and fixing method of the cross bars obtained by the Buyer are suitable for the weight of the Product and its intended use. On the Buyer's request the Seller provides information on this, but that information is not an undertaking of liability for the suitability of the cross bars.

3. Purchase price and payment terms

3.1. The Parties determine the purchase price of the Product to be manufactured with the technical content under section 2 as follows:

net purchase price: HUF [...], in words: [...] forints,

VAT (27%): HUF [...],

gross purchase price: HUF [...], in words: [...] forints (the "Purchase Price").

The Buyer must pay VAT at the rate required by law at the time the invoice is issued.

3.2. The Purchase Price includes the consideration for the manufacture of the Product and for the first installation under section 5.

3.3. By agreement of the Parties, the Buyer pays the Purchase Price in two instalments:

3.4. In the case of a transfer, the day of payment is the day the amount is credited to the Seller's bank account. For cash payments the Seller acknowledges receipt of the amount in writing.

3.5. The Buyer acknowledges that the Seller starts manufacturing the Product only after the first instalment has been paid in full (credited).

3.6. In case of late payment the Seller is entitled to charge default interest under the Civil Code.

4. Manufacturing deadline

4.1. The Seller manufactures the Product within 6 (six) weeks of the first instalment being credited to the Seller's bank account, or of the receipt of the instalment paid in cash.

4.2. The Seller may perform early; the Buyer must accept early performance.

4.3. The manufacturing deadline does not include any period during which the Seller cannot continue manufacturing for a reason within the Buyer's sphere of interest (in particular, because the Buyer fails to provide data, take a decision or cooperate).

4.4. The Seller is not in delay if performance is prevented by an unavoidable external cause beyond its control (force majeure). In that case the manufacturing deadline is extended by the duration of the obstacle, of which the Seller informs the Buyer without delay.

5. Handover and first installation of the Product

5.1. The Seller notifies the Buyer that the Product is ready and at the same time invites the Buyer to take it over.

5.2. The Buyer must take over the Product within 2 (two) weeks of receipt of the notification, that is, appear at the time agreed with the Seller – with the vehicle and the pair of roof rack cross bars obtained by the Buyer – for the first installation of the Product.

5.3. The Product is handed over by the Seller carrying out the first installation on the roof of the Buyer's vehicle. Place of handover: 2330 Dunaharaszti, Szondi György utca 77., Hungary.

5.4. The Buyer acknowledges that at the first installation the Seller adapts the Product, its position and the way it is fixed specifically to the Buyer's vehicle, which takes 2–3 hours.

5.5. The Parties draw up a handover record stating the time of handover, the technical content of the Product and any remarks and defects. By signing the record the Buyer acknowledges taking over the Product.

5.6. The risk of loss passes to the Buyer upon handover of the Product. The Seller retains ownership of the Product until the Purchase Price has been paid in full.

5.7. At handover the Seller gives the Buyer a Hungarian-language instruction manual containing the rules for mounting and dismounting the Product and for its intended and safe use. The Buyer acknowledges receipt of the manual by signing the handover record.

5.8. At the first installation the Seller also informs the Buyer orally of how to mount, dismount and use the Product.

6. Warranty and guarantee

6.1. The Seller warrants that the Product conforms to the technical content specified in the contract and its annex and is fit for its intended use.

6.2. The Seller is subject to the statutory warranty obligation for defects under the Civil Code, the starting date of which is the day of handover of the Product.

6.3. Warranty and guarantee liability does not cover defects resulting from use contrary to the intended purpose or to the instruction manual, improper mounting or dismounting, modifications made by the Buyer or a third party, or natural wear and tear during intended use.

6.4. Warranty and guarantee liability does not cover the pair of roof rack cross bars provided by the Buyer, or defects attributable to them.

7. Exclusion and limitation of liability

7.1. The Seller accepts no liability for any damage arising from the mounting, dismounting or use of the Product by the Buyer or otherwise in connection with the Product. Except for liability for defective performance and product liability, the Seller excludes its liability for damages.

7.2. The Seller excludes its liability for damage resulting from failure to comply with the instruction manual.

7.3. The Seller excludes its liability for defects and damage attributable to the pair of roof rack cross bars provided by the Buyer.

7.4. The Buyer acknowledges that, when using the Product, the Buyer must comply with the legal provisions on hunting, road traffic and occupational and accident safety; compliance is the Buyer's responsibility.

7.5. The limitation of liability in this section does not extend to liability for breach of contract by the Seller committed intentionally or causing harm to human life, bodily integrity or health.

8. Failure to take over, withdrawal, forfeit money

8.1. The Seller starts the custom manufacture after the first instalment has been paid.

8.2. If, on the Seller's invitation, the Buyer does not take over the Product within 2 (two) weeks – that is, does not appear for the first installation – and does not pay the remaining part of the Purchase Price, the Seller calls on the Buyer in writing to perform, setting an additional period of 2 (two) weeks.

8.3. If the additional period also expires without result, the Seller may withdraw from the contract by a unilateral written declaration and keep 70% of the instalment already paid by the Buyer as forfeit money. The Seller refunds the remaining 30% within 8 days of the last day of the additional period. The Parties expressly accept this provision and do not consider it excessive in their relationship.

8.4. If the Seller withdraws, the Buyer may make no claim to the Product; the Product remains the Seller's property.

9. Communication

9.1. The Parties communicate their declarations relating to the contract in writing, by e-mail to the e-mail address stated in the contract or by registered post. The Parties regard declarations made by e-mail as written.

10.1. All rights relating to intellectual creations connected with the design, development and manufacture of the Product belong to the Seller. The Seller informs the Buyer that the Product is registered with the Hungarian Intellectual Property Office as a utility model under registration number 6 109. By purchasing the Product the Buyer acquires the right to use it as intended and ownership of the Product, but no other rights in the Product as an intellectual creation.
